Evaluation License Agreement

OUARZ TECHNOLOGY LTD. - Trial License Agreement

Ouarz Technology Ltd. ("Ouarz") is willing to license access to Studio Ouarz (the "Service") only upon the condition that you accept all of the terms of this agreement. Please read these terms carefully before clicking "I Agree", as clicking "I Agree" and proceeding to use this service will indicate your agreement to these terms. If you do not agree to these terms, then Ouarz is unwilling to license this service to you, in which event you should click 'I Disagree' to abort access to the Service.

LICENSE
You may transfer the Service and all rights under this Agreement to another party together with a copy of this Agreement if the other party agrees to accept the terms of this Agreement.

RESTRICTIONS
You may not use, copy, modify, reverse engineer or transfer the Service, or any copy, in whole or in part, except as expressly provided for in this Agreement. Any attempt to transfer any of the rights, duties, or obligations hereunder except as expressly provided for in this Agreement is void.

You may rent, lease, loan, resell for profit this Service, with the requirement that you keep this notice instact.

LIMITED WARRANTY
Ouarz warrants for the period of twenty one (21) days from the date of delivery of the Software to you as evidenced by a copy of your receipt that:

(1) The Service, unless special modification by you and for you, will perform in accordance with the user documentation provided by Ouarz. Your sole remedy under this warranty is that Ouarz will either correct within a reasonable period of time any "System Error" (failure of the Service to perform in accordance with the user documentation) reported during the warranty period or, if Ouarz is unable to correct any such System Error, refund to you p[art or whole of the money paid for access to the Service. Ouarz does not warrant that the Service will meet your requirements, or that operation of the Service will be uninterrupted or error-free, or that all System Errors will be corrected.

(2) Ouarz will have no responsibility to replace or refund the purchase price of any medium, information, computer, etc....

The above warranties are exclusive and in lieu of all other warranties, express or implied, and Ouarz expressly disclaims all other warranties, including the implied warrants of merchantability, fitness for a particular purpose, and non-infringement. No oral or written information or advice given by Ouarz, its employees, distributors, dealers, or agents shall increase the scope of the above warranties or create any new warranties.

LIMITATIONS AND REMEDIES
Ouarz entire liability to you and your exclusive remedy shall be the correction of the Service or the refund of your access fees, as set forth above. If Ouarz is unable to deliver a replacement which is free of defects in workmanship, you may terminate this Agreement by returning the Software and your money will be refunded.

Regardless of whether any remedy set forth herein fails of its essential purpose, in no event will Ouarz be liable to you for any damages, including any lost of profits, lost data, or other incidental or consequential damages, arising out of the use or inability to use the Service or any data supplied therewith, even if Ouarz or an authorised dealer has been advised of the possibility of such damages, or for any claim by any other party.

This Service and the accompanying documentations are protected by Copyright law and International Treaty. Unauthorised reproduction or distribution is subject to civil and criminal penalties.
